User Agreement

Paper Mill Surplus, LLC. (Paper Mill Surplus) greets you with a warm welcome. By using this service platform and Paper Mill Surplus affiliate sites, you agree to the terms and conditions along with our affiliate websites Surplusport.com and Equipmentport.com, respectively. These terms are in accordance to and recognized by International law. Before becoming a member of Papermillsurplus, You must read and accept in accordance all of the terms and conditions stated herein this agreement.

Description of Service

A. Paper Mill Surplus provides a rich platform for the pulp, paper, converting and chemical industries. The site includes avast array of opportunities to buy, sell, market, auction and list your equipment and machinery. There is also an area for companies’ to post job openings.

B. Paper Mill Surplus does not warranty and has no control in regards to the condition, compatibility safety or legality of the machinery and equipment offered for sale or the credibility job postings. Once the transaction is made, it is the sole responsibility of the buyer and seller in regards to the item transacted, not holding Paper Mill Surplus, its’ officers, subsidiaries, brokers, agents, directors, partners, investors, employees and affiliates resposible or liable in any form for the equipment or machine that was sold. This includes any damages or claims. These claims are the resposibilty of the buyer and seller. Paper Mill Surplus and its’ affiliates are solely acting as a sales platform to use for registered users at the users own risk.

C. Paper Mill Surplus may receive fees from seller, buyer, job postings and advertising, but is not acting as an agent for any party. Paper Mill Surplus may accept compensation in the form of the difference between the acceptable sales price by the seller and the offer from the buyer. Paper Mill Surplus pay pay commissions and reive commissions from third parities who assist in transactions between the buyers and sellers. Such transactions mayt take the form of moetary payments, monetary credits or trading leads to facilitate transactions.

D. Registered User (Member) Each user is assigned an account with full accessibilty to the site and any future content including news and blogs. Each member has a password and username and are responsible for the secirty and confidentiality of their username and password.

Use (Privacy Policy)

Our main goal in collecting personal information is to provide you with a seamless, failsafe and customized experience. You agree we may use your information to prevent potential illegal activities, to provide the support and service for efficient use and transacting, and to keep you informed about all our new features and updates.

E. User Conduct

While using our services you agree not to: Post, upload, email, transmit or any other form any content that is illegal, harmful, libelous, defamatory, threatening, harassing, vulgar, obcene, invasive of anothers rights or scandelous.
You also agree to not impersonate, mislead or misrepresent in any way or form, any person or identity, or misrepresent your assoctiation with any person or identity.
You nay not collect and store data belonging to other members nor interfere with any content related to postings, advertising or content from this site or its’ affiliates.
Upload, post, transmit or distribute content which may contain a virus or interfere with computer code.
Modify, copy or distribute content from the site and Paper Mill Surplus’ copyrights and trademarks.
Interefere with the transaction or price of another user.
Intentially violate any applicable state, federal or international law.

Disclaimer of Warranties

Registered users (members) agree that the use of this service is at their sole discretion. The service provided is on an “AS IS WHERE IS” Basis. Paper Mill Surplus does not constitute a warranty of any kind, expressly or implied, including but not limited to, mechanicability of item bought or sold, fitness for a particular purpose, non-infringement, it also includes warranties arising from usage of trade, or arisng from any course or dealing. Paper Mill Surplus makes no warranty of mechanicalability or condition of any item, equipment or machinery sold on its’ site. Paper Mill Surplus makes no warranty in regards to any item, machinery or equipment posting and we do dont warrant that this site will meet any registered users requirement or transaction. We do not warrant any interruptions in service or any that the site will run error free without disruptions. We are not liable for any users and all users agree to use the web site at their own discretion.

Indemnification

Registered users will hold harmless, Paper Mill Surplus, LLC. and our officers, subsidiaries, brokers, agents, directors, partners, investors, employees and affiliates from any claim or demand, including any reasonable attorneys’ fees made by any third party due to or arising out of the registered users use of this service, registered users violations of these terms, or violation by a registered user or any other person using the registered users’ password, of any right of any person or entity.

Liability

Registered users agree to not hold Paper Mill Surplus LLC, or any of its officers, directors, subsidiaries, brokers, agents, investors, employees and affiliates resposible for any direct, indirect, special or consequential damages arising out of the use or the inability to use the items and postings on this site. Paper Mill Surplus and its’ affiliates is not liable in any way or form to any failures of the sellers to deliver equipment and machinery, the buyers to pay for the equipment and machinery, the truck or freight delivery, loading or damages arising from such said transactions. We arenot responsible for any mistakes, ommissions, price changes, payment defaults, or defects in the service or temination of members account due to violation of terms.

User Termination

Paper Mill Surplus reserves the right to terminate any registered user without cause at any time without any liability to registered user or third party. At time of termination all outstanding commissions and fees will be due and are to be paid in full.

Notices

All notices Shall be sent via email to customer service@papermillsurplus.com or may be sent via mail to Paper Mill Surplus 2600 North 2nd Street Minneapolis, MN. 55411

We will respond within three days to the email address provided or to you user contact address.

Resolution of Disputes

This agreement is governed by laws in the State of Minnesota and any claims or disputes will be handled and resolved by a court in Hennepin county, Minneapolis, Mn. US. Any arbitration will be handled by one arbitrator in accordaance and subject to the commercial Arbitration Rules of the American Arbitration Association.

Conclusion

Registered users agree to the abovesaid terms and any disputes arising will be governed by the laws of the State of Minnesota. We amend these terms at any time by posting amendments on the site.

SELLER'S TERMS AND FEES

By submitting a listing, seller agrees to a firm but negotiable (in price only) offer to sell equipment, machinery or an entire paper mill, pulp mill, paper machine, converting plant, other, for the price listed (or the highest offered price in an auction sale) provided the asking price and reserve price (if applicable) are satisfied.

The sales period is unlimited. The item can remain on the site until it is sold in a negitated sale or online auction. An auction sale will be deemed with a set said time and if the reserve is met will go to the highest bidder, if not, will be at the sellers’ discretion.

Seller (registered user) will ensure all of the information in regards to the equipment and machinery is accurate and is responsible with providing any terms, warranties’, conditions and disclosures to the buyer prior to the transaction being completed.

Seller (registered user) also guarantees that all the information stated by the seller in regards to the machinery and equipment is accurate, they have the exclusive right to sale the equipment or machinery and that their aren’t any liens or encumbrances to the machinery or equipment being sold.

Payment

Sellers (Registered users) authorizes Paper Mill Surplus, LLC to collect the payment on their behalf and Paper Mill Surplus will deduct a commission fee of 9% based on its’ fee schedules at the time of sale. Once a transaction is made, it is non-refundable. Seller (Registered user) is solely responsible for the collection and payment of all taxes in regards to the equipment sale.

Seller Remedies

If the buyer does not fulfill thier obligations to a bid within 3 days after a sale is agreed upon, they may award it to the next highest bidder, if acceptable or post it back on the site.

All of Paper Mill Surplus’ Basic Terms and uses apply to this agreement.

BUYER'S TERMS AND FEES

Bids and Offer Submissions:

Buyers (Registered users) can offer at any time on any equipment and machinery as a bid. Any bid is an irrevocable offer to purchase the equipment or machinery for the amount they bid unless it is bid up by another buyer or it isn’t acceptable by the seller. A bid is valid and cannot be removed unless it was clearly an error, to be reviewed and agreed upon by Paper Mill Surplus. A successful bid, one that meets the sellers acceptable price is obligated to make payment that bid within 6 buisness days. A 5% buyers fee is also do at the time of payment.

All equipment is subject to cancellation from the seller due to unforesseable circumstance and the generated invoice of acceptance to the buyer will be cancelled, not holding Paper Mill Surplus liable although this is rare.

Payment:

Accepted bids will be paid within 6 business days once buyer is notified that their bid is accepted. All payments must be made to Paper Mill Surplus, LLC. by Guaranteed bank check, bank wire transfer, certified check, Registered user check with bank guarantee, credit card or paypal. Equipment will not be shipped until payment has cleared the bank or credit service.If a member cancels their purchase without reasonable cause Paper Mill Surplus Reserves the right to collect a 5% commission of the total transaction to recover costs.

Buyer Shipping and picking up item All items purchased must be arranged between buyer and seller once the transaction has been processed. It is up to the terms of the seller in regards to the time frame of the pick up window, usually 15-30 days.
